This Terms of Service Agreement (the "Agreement") is a legal contract between HardSoftCode.com ("HardSoftCode", "us", "we", or "our") and you ("User", "you", or "your"). This Agreement sets forth the general terms and conditions governing your use of the HardSoftCode.com website and the products and services made available through it (collectively, the "Products and Services").

By accessing or using the Products and Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to abide by these terms, you are not authorized to access or use any HardSoftCode Products and Services.

HardSoftCode reserves the right to revise, modify, add, or remove portions of this Agreement at any time. When changes are made, we will update the "Last Updated" date at the bottom of this page. We will notify you of material changes in accordance with our standard notice provisions. Your continued use of the website or services following such notice constitutes your explicit agreement to the updated terms.

Additional Policies and Agreements

Your use of our services is also governed by secondary policies that are fully incorporated into this text by reference. By utilizing our Products and Services, you explicitly agree to the terms of the HardSoftCode Privacy Policy.


1. Account Security

If any of our Products and Services require you to create an account, you must complete the registration process by providing true, current, complete, and accurate information as prompted by the registration form. You are required to promptly maintain and update this data to ensure it remains accurate.

During registration, you must provide a valid email address and select a secure password. While HardSoftCode may provide utility tools to help you evaluate the strength of your chosen password, we cannot guarantee that it will provide absolute protection.

Please note the following security restrictions:

  • Newsletter Password Risk: HardSoftCode is not responsible for protecting passwords used specifically to sign up for our promotional newsletters or mailing lists. Because our system periodically emails these subscription passwords to users for recovery purposes, they are inherently insecure.
  • Password Separation: You must choose a completely different password for your main account than the one used for mailing list subscriptions.
  • Account Confidentiality: You are entirely responsible for maintaining the confidentiality of your credentials and account details, as well as for any and all activities occurring under your profile.
  • Unauthorized Access Notification: You must notify HardSoftCode immediately of any unauthorized account use or any other breach of system security.
  • Liability for Losses: HardSoftCode will not be liable for losses you incur due to someone else using your password or account, regardless of whether it happens with or without your knowledge. However, you may be held legally liable for losses incurred by HardSoftCode or another third party due to unauthorized activity under your account.
  • Account Sharing Prohibited: You are strictly forbidden from using another individual's account at any time.

If you provide information that is false, inaccurate, outdated, or incomplete—or if HardSoftCode has reasonable grounds to suspect such status—we reserve the right to suspend or terminate your account and deny all current or future use of our platform, website, or services.


2. Service Provision & Licensing

All software products supplied by HardSoftCode.com are explicitly licensed, not sold, under the terms of our End User License Agreement (EULA). HardSoftCode retains complete ownership of the software products and reserves all rights not expressly granted to you.

License holders are strictly prohibited from borrowing, lending, leasing, renting, or selling their license keys to any third party, except through our authorized license transfer policy. Any license key found violating this rule will be revoked immediately without recourse or compensation.


3. End User License Agreement (EULA)

The complete EULA text file is included inside the standard product download package zip file. By installing, copying, activating, or otherwise utilizing our software products, you explicitly agree to be bound by all terms and conditions detailed within that EULA.


4. Renewals, Payments, and Billing section 4

All transactions and standard payments are accepted exclusively through the PayPal payment gateway.

  • Automated Product Renewals: Product updates and support subscriptions automatically renew until explicitly cancelled by the user. Recurring billing cycles are due quarterly, counting from the initial monthly calendar anniversary date of your signup.
  • Late Payment Suspension: If full payment is not received within five (5) days of the listed due date, HardSoftCode will automatically suspend your access to product updates. We reserve the right to suspend any or all associated services running on the delinquent account.
  • Service Deposits: Professional development services require full payment in advance before any technical work begins. For larger custom programming jobs, payments may be split into multiple installations at our discretion—typically consisting of a 50% deposit before work begins and the remaining 50% upon project completion.
  • Chargeback Penalties: If we receive a banking chargeback, formal payment dispute, or reversal request, all related user accounts and running services will be immediately suspended. Services will remain revoked until all reversed funds are repaid in full, along with an administrative recovery fee (typically 20$ per chargeback incident).

5. Delivery Information

  • Software Licenses: Standard product license keys are automatically generated and issued instantly once our gateway processor confirms your payment. If a payment is later flagged as fraudulent, the license will be suspended, and you will be liable for the full amount plus any processing fees incurred.
  • Source Code Delivery: Software products purchased with source code access are delivered manually to your verified PayPal email address. This manual review process typically takes between 24 to 48 hours, though this turnaround time is not guaranteed.
  • Setup & Installation Services: Professional software installations and server setups usually take between 24 to 48 hours to complete. This timeline is not guaranteed and can take longer during peak times, such as immediately following new version releases.

6. Cancellations and Refunds Policy

Due to the nature of digital goods, all sales of digitally downloadable products are final and non-refundable once the file has been downloaded. Because you gain instant access to the core proprietary files upon downloading, we cannot reverse the transaction.

  • Subscription Renewals: Any automated fees paid for product update extensions prior to submitting a cancellation request are strictly non-refundable.
  • Service Fees: Once technical work has started on custom setups or professional services, all associated fees become non-refundable.
  • Policy Enforcement: If a customer violates our EULA or Terms of Service, HardSoftCode reserves the right to cancel their services and terminate account access immediately without eligibility for a refund.
  • Dispute Mitigation: We sturdily contest any unauthorized or bad-faith PayPal chargebacks by referencing these terms of sale. You are responsible for fully reviewing the product specifications, descriptions, and compatibility requirements before purchasing. Refunds will only be considered if the delivered product is proven to be significantly different from how it was described on our website.

7. Product Support

Technical support is provided exclusively for paid Products and Services, and only to users whose accounts are in good standing. Support will not be provided if your account has outstanding billing balances or if you are utilizing a free product tier.

HardSoftCode reserves the right to refuse technical customer support for any reason, including but not limited to, abusive, aggressive, or offensive communication directed toward our staff.


8. Support Data Management

To resolve support tickets or technical incidents, HardSoftCode may require you to voluntarily supply remote connection credentials (collectively, "Support Data"). This data includes, but is not limited to:

  • Usernames, passwords, and server IP addresses necessary to log into administrative tools (such as WHMCS, cPanel, FTP services, or the software's root installation directory).
  • Authentication details for affected sub-accounts, including localized MySQL databases or mail relays.

HardSoftCode implements commercially reasonable physical and electronic security measures to protect the integrity of your Support Data. However, we cannot guarantee absolute data security.

To the extent required by applicable law, you are solely responsible for obtaining any necessary third-party permissions, consents, or licenses, and for providing required disclosures before sharing sensitive server data or client info with HardSoftCode.


9. Third-Party Web Links

Our website may contain links to external web platforms operated by third parties. HardSoftCode does not monitor, endorse, control, or accept responsibility for the privacy practices, performance, or content of third-party platforms. You are advised to use your best judgment when navigating away from our website.


10. Disclaimer of Warranty

The HardSoftCode website, content, and all Products and Services are provided entirely on an "as-is" and "as-available" basis without warranties of any kind. To the maximum extent permitted by law, HardSoftCode disclaims all express or implied warranties, including the warranties of merchantability, non-infringement, and fitness for a particular purpose.

We do not warrant that our website, software content, or services will operate completely error-free, or that our application servers are entirely free of computer viruses or other damaging digital mechanisms. If your use of our website or software results in the need to service, repair, or replace physical equipment or database assets, HardSoftCode is not responsible for those costs. We make no warranties regarding the absolute accuracy, reliability, completeness, or timeliness of our content.


11. Limitation of Liability

Under no circumstances shall HardSoftCode be held liable for any direct, indirect, incidental, special, exemplary, or consequential damages. This limitation includes, but is not limited to, loss of profits, data corruption, or business interruptions arising out of your use, misuse, or inability to use our website, software packages, or content.

This limitation applies regardless of whether the alleged liability is based on contract, tort, or negligence, and even if HardSoftCode has been explicitly advised of the possibility of such damages. This includes damages or losses incurred via auxiliary products, advertisements, or third-party links hosted on our site.

These limitations apply to the absolute fullest extent permitted by applicable law. Because some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, certain portions of this section may not apply to you.


12. Indemnification

You agree to indemnify, defend, and hold harmless HardSoftCode, its directors, officers, employees, staff, agents, successors, and assigns (collectively, the "HardSoftCode Parties") against any liability, loss, damage, legal expense, or cost (including reasonable attorney fees and litigation expenses) resulting from claims, lawsuits, or judgments arising directly or indirectly out of:

  • Your use or misuse of our website, software modules, or services.
  • Your breach of this Agreement or any representations and warranties made herein.
  • Your violation of any applicable local laws or third-party rights.

13. Agreement Termination

You may terminate this Agreement at any time, with or without cause, by providing formal written notice to HardSoftCode. Upon termination, HardSoftCode may preserve your historical account logs and data to the extent required or permitted by applicable law.

HardSoftCode reserves the absolute right to terminate this Agreement, or to suspend or permanently disable your access to our website, license servers, or services at any time, for any reason, with or without prior notice. If we choose to provide notice of termination, we may use any communication channel on record.


14. Price Alterations

HardSoftCode reserves the right to modify software subscription prices, licensing models, or additional service fees at any time. We will provide you with at least thirty (30) days' prior notice before implementing any price increase.

It is your sole responsibility to periodically review your active billing data through our client portal, billing tools, or via notices sent to your email.


15. License Transfer Policy

We permit our software license keys to be resold or transferred only once per license key, subject to explicit eligibility criteria and administrative fees.

  • Eligibility Window: A product license is not eligible for resale or transfer until at least three (3) months have passed from the original date of purchase.
  • Verification Process: Before making any sale arrangement, you must contact us to verify your license key's eligibility status.
  • Transfer Fee: Upon approving a transfer request, we will issue an invoice for our standard license transfer fee, which is currently 15% of the full retail product price.
  • Finalization: Once the transfer fee is paid, you must provide us with the full name, verified email address, and account details of the new owner. Once processed, all license transfers are final and completely irreversible.

16. Intellectual Property & Trademarks

The HardSoftCode website and its software products contain explicit references to various third-party companies with which our products integrate for payment processing, API connections, and auxiliary configurations.

HardSoftCode and the official HardSoftCode logo are proprietary trademarks belonging to HardSoftCode.com. All rights are reserved. All other third-party trademarks, brand names, or logos mentioned on this site remain the exclusive property of their respective owners.
